During this roundtable, we will present and discuss selected U.S. legal risks that German businesses are confronted with when operating in the U.S. Our experts will discuss appropriate safeguards and steps that businesses can take to mitigate these risks in a cost-efficient manner. We would like to discuss the following topics:


1. Litigation – Document Retention Policies - “Our company was just sued, what do we do with our documents now?”  (Peter Flägel  / Jeff Boxer)

  • Document discovery rules in U.S. litigation, in general and in light of electronic communication and documentation.
  • Effect of destruction of relevant documents in the due course of business.
  • Value and importance of document retention policies as a means to protect your business from significant costs, legal fees and expenses associated with discovery under U.S. laws.

2. U.S. Foreign Corrupt Practices Act (FCPA) – “No worries, this legislation only affects U.S. companies, correct?” (Robert A. McTamaney)

  • The elements of the FCPA.
  • Applicability to U.S. subsidiaries of foreign companies and applicability to foreign persons.

3. Bankruptcy – “How do I protect myself from the bankruptcy of my supplier or customer?” (James Gadsen)

  • The risks associated with bankruptcies of your business counterparties. 
  • Techniques available to mitigate these risks: security interests; exercise of special remedies; contract terminations before the counterparty files for bankruptcy.
